Truly Yours Agency – Terms and Conditions of Service

1. Definitions

1.1 “We”, “Us”, “Our” – Refers to Truly Yours Agency, a trading name of I’m Your P.A. Limited (company number 06557786), registered at 2 Shaw Park Business Village, Shaw Road, Wolverhampton WV10 8PP.
1.2 “Client”, “You”, “Your” – Refers to the individual, company, or organisation receiving our services.
1.3 “Platform”, “TYA Portal”, “System” – Refers to the CRM and automation platform provided via Go High Level technology and delivered under the Truly Yours Agency brand.
1.4 “GHL” – Refers to Go High Level Inc., the underlying software provider used by Truly Yours Agency to deliver services.
1.5 “Third-Party Services” – Refers to external integrations and services (such as Google, Facebook, WhatsApp, and others) used within or connected to the TYA Portal.
1.6 “AI Tools” – Refers to the artificial intelligence and generative features available within the TYA Portal.


2. Scope of Services

2.1 We provide CRM configuration, marketing automation, AI-powered content tools, campaign management, and system support using the TYA Portal.
2.2 Services may include funnel building, automation design, campaign creation, and CRM setup.
2.3 Any technical work outside agreed package limits is chargeable on a time-based quotation.


3. Packages and Pricing

3.1 £125/month plan includes:

Up to 2 users

Up to 1,500 contacts

Email monitoring

Emails and texts included under the Fair Usage Policy

 

3.2 £150/month plan includes:

Unlimited users and contacts

Email monitoring

Emails, texts, WhatsApp, and other messaging services charged separately

 

3.3 Additional work outside package limits is billed at:

£60/hour for basic work

£75/hour for template setup and intermediate tasks

£90/hour for complex automations, troubleshooting, or rebuilds

 

3.4 Support via WhatsApp is included for all clients. Platform access is provided under the Truly Yours Agency brand but is not white-labelled.


4. Fair Usage Policy (FUP)

4.1 The Fair Usage Policy ensures every client receives a consistent level of performance and support.

4.2 For clients on the £125/month plan, the monthly allowance includes:

Up to 5,000 email sends

Up to 500 domestic SMS messages (MMS = 3 credits)

Up to 5,000 AI-generated words

4.3 Unused allocations do not roll over. Exceeding these limits may restrict access or incur additional fees. Consistent overuse may require a plan upgrade.

4.4 We reserve the right to throttle, pause, or suspend accounts that affect system performance or breach this policy.


5. Client Responsibilities

5.1 You must provide accurate, lawful, and permission-based data.
5.2 You agree not to make unauthorised changes to automations, triggers, or CRM settings.
5.3 Issues caused by client-side errors or misconfigurations are chargeable to resolve, typically at £90/hour.
5.4 We are not responsible for disruptions caused by your own modifications or by third-party integrations you connect.


6. Using the Platform Responsibly

6.1 The TYA Portal is provided for legitimate business use only. It must not be used for unlawful, misleading, or spam-related activity.
6.2 You are responsible for ensuring your messages, emails, and marketing comply with all applicable laws, including the UK GDPR, Data Protection Act 2018, PECR, and any international marketing regulations.
6.3 You are responsible for obtaining and maintaining valid consent from your contacts before sending communications.
6.4 To keep the system secure and fair for everyone:

Do not share your login or system access with anyone outside your business.

Keep passwords safe and update them regularly.

Avoid uploading unnecessary or outdated data to the platform.

6.5 Each TYA Portal account is licensed for use by the account holder’s business only. It must only contain data belonging to that business, such as its own customers, prospects, and contacts.
6.6 You must not upload or process data belonging to another company or any third party who is not your direct customer. The platform cannot be used to manage or send communications on behalf of other businesses.
6.7 If unauthorised or third-party data is discovered in your account, we may suspend access immediately, investigate, and remove the affected records.
6.8 You are fully responsible for all data uploaded to your account and agree to indemnify Truly Yours Agency for any claims, fines, or losses arising from misuse of the platform.


7. Data Protection and Privacy

7.1 You are responsible for ensuring your use of the TYA Portal complies with UK data protection law, including the UK GDPR and PECR.
7.2 You must manage all customer and contact data lawfully, including responding to data access or deletion requests within legal timeframes.
7.3 You must notify us promptly of any data breach or unauthorised access related to your use of the TYA Portal.
7.4 Do not upload or process sensitive personal data (such as health or financial details) without a lawful basis and adequate safeguards.
7.5 Truly Yours Agency may process limited data on your behalf to provide platform services, in line with our Privacy Policy and Data Processing Agreement.
7.6 We are not responsible for your data handling or any failure to comply with your own legal obligations.


8. Third-Party Integrations

8.1 The TYA Portal connects with external systems such as Google, Facebook, WhatsApp, and similar services.
8.2 These integrations are managed by their respective providers and are subject to their own terms and privacy policies.
8.3 We do not control or guarantee the functionality, security, or availability of these services.
8.4 By enabling integrations, you accept those providers’ terms and any associated risks.


9. Artificial Intelligence Tools

9.1 The TYA Portal includes AI-powered tools that help create content and automate processes.
9.2 AI-generated outputs may occasionally contain inaccuracies or suggestions that are unsuitable. You are responsible for reviewing and approving any AI content before use.
9.3 AI tools must not be used for unlawful, discriminatory, or misleading purposes, or to produce professional advice such as legal, financial, or medical guidance.
9.4 Truly Yours Agency does not guarantee the accuracy or reliability of AI outputs and accepts no liability for loss or damage arising from their use.


10. Platform Repairs and Rebuilds

10.1 If changes made within your account cause technical issues, we may charge for investigation and repair time.
10.2 Rebuilds, redesigns, or training can be quoted in advance and will be billed at the current hourly rate.
10.3 Truly Yours Agency is not responsible for data loss, downtime, or disruption resulting from unauthorised alterations.


11. Intellectual Property

11.1 We retain ownership of all templates, workflows, and automations created until full payment is received.
11.2 Once paid in full, you receive a non-exclusive licence to use custom materials within your own business.
11.3 You may not reproduce, distribute, or share these materials with other parties without our written consent.
11.4 The TYA Portal software, framework, and infrastructure remain the property of the platform provider.


12. Termination and Data Deletion

12.1 Services operate on a rolling monthly basis and require one full calendar month’s notice to cancel.
12.2 No refunds are issued for part-used months.
12.3 We may suspend or terminate access immediately for non-payment, breach of terms, or misuse.
12.4 Access to the TYA Portal ends immediately on termination.
12.5 Data is retained for 30 days after cancellation, after which it may be permanently deleted.
12.6 It is your responsibility to export any required data before closure.
12.7 Truly Yours Agency accepts no responsibility for loss of data following termination.


13. Support

13.1 Basic support is available to all clients via WhatsApp.
13.2 Additional training or troubleshooting may be chargeable depending on complexity.
13.3 Support requests are prioritised according to plan level and urgency.


14. Limitation of Liability and Indemnity

14.1 We are not liable for loss of data, income, or reputation arising from third-party issues or user actions.
14.2 Our total liability under these Terms is limited to the value of one month’s service fee.
14.3 You are solely responsible for the legality of your communications and campaigns.
14.4 You agree to indemnify Truly Yours Agency against any claims, losses, or penalties resulting from misuse of the platform, breach of law, or failure to follow these Terms.
14.5 We do not guarantee specific business outcomes or profitability.
14.6 The TYA Portal is provided “as is” and “as available”. We make no warranty of uninterrupted operation or error-free performance.


15. Force Majeure

15.1 We are not liable for any failure or delay caused by events beyond our reasonable control, including internet outages, third-party service failures, power cuts, strikes, or natural disasters.


16. Governing Law

16.1 These Terms are governed by the laws of England and Wales.
16.2 Any disputes will be subject to the exclusive jurisdiction of the English courts.
